Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and Desi Subtitles (the website, app, APIs, and related services — collectively the “Service”). By accessing or using the Service, creating an account, signing in, uploading media, generating or exporting subtitles, or clicking continue / sign in, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
1. Who may use the Service
- You must be legally able to enter a binding contract in your jurisdiction. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization.
- You are responsible for maintaining the confidentiality of your account and for all activity under it. Notify us promptly of unauthorized use.
2. The Service
- Desi Subtitles provides tools to upload audio or video, generate timed subtitles (including via automated speech recognition and related AI), edit cues and styles, and export formats such as SRT, caption layers, or captioned video.
- Features, languages, pricing, free trial minutes, and availability may change. We may modify, suspend, or discontinue any part of the Service at any time without liability.
- We do not guarantee uninterrupted, error-free, or perfectly accurate transcription, timing, translation, styling, or export. You must review all outputs before publishing or relying on them.
3. Your content — Input and Output
- “Input” means anything you upload, submit, or provide (including audio, video, text edits, styles, titles, and API requests). “Output” means subtitles, captions, timed cues, styled layers, exported files, and any other results the Service generates from Input. Input and Output together are “Content.”
- You are solely and fully responsible for all Content associated with your account — including Input you upload and Output you generate, edit, download, publish, or distribute. The website owner, operators, developers, affiliates, and personnel are not responsible or liable for Content.
- You represent and warrant that: (a) you own or have all licenses, rights, consents, and permissions needed to upload Input and to process it with the Service; (b) your Content and your use of the Service do not violate any law, regulation, third-party right (including copyright, trademark, privacy, publicity, or contractual rights), or these Terms; and (c) you will not upload Content you are not authorized to process.
- As between you and us, to the extent permitted by law: you retain rights in your Input; and you own the Output we generate for you from that Input, subject to these Terms and any third-party rights in the underlying media. We assign to you whatever interest we may have in Output, if any.
- You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, and create derivative works from Content solely as needed to operate, secure, debug, and provide the Service (including temporary processing of media and storing saved subtitle history).
- We do not claim ownership of your media libraries. We do not endorse Content. Automated generation does not mean we reviewed, verified, or approved Content for accuracy, legality, or fitness for any purpose.
4. User responsibility and prohibited uses
- You alone decide what to upload, generate, edit, export, and publish. You are responsible for reviewing Output for errors, omissions, offensive material, and third-party rights before any public or commercial use.
- You must not use the Service to: upload or process content you do not have rights to; infringe intellectual property; violate privacy or publicity rights; distribute illegal, harmful, exploitative, or fraudulent material; attempt unauthorized access, reverse engineer (except where law allows), disrupt, or overload the Service; scrape or abuse APIs beyond documented limits; bypass usage metering, payments, or security; or use Output to mislead others about facts, identity, or source when disclosure is legally required.
- We may remove Content, suspend accounts, refuse service, or cooperate with rights holders and authorities if we believe a violation occurred — without liability to you. We have no obligation to monitor Content but may do so.
5. AI and accuracy disclaimer
- Outputs are produced by automated systems and may contain mistakes, hallucinations, incorrect words, wrong speakers, bad timing, incomplete cues, or culturally inappropriate phrasing. You accept that use of Output is at your sole risk.
- Do not rely on Output as a sole source of truth, as professional, legal, medical, or financial advice, or as a substitute for human review — especially for accessibility, compliance, news, education, or commercial broadcast.
- Platforms where you publish (YouTube, Instagram, etc.) have their own rules; compliance with those rules is solely your responsibility.
6. Intellectual property complaints
- If you believe Content on the Service infringes your rights, contact us via the Contact page with enough detail to identify the material, your rights, and a statement of good-faith belief. We may remove or disable access to allegedly infringing material and, where appropriate, terminate repeat infringers.
- You agree that disputes about your uploaded media or published captions are between you and the claimant; we are not obliged to mediate beyond what law requires of an intermediary or service provider.
7. Minutes, payments, and refunds
- The Service may offer free trial audio minutes and paid minute packs. Minutes are consumed by processed audio duration and related billable features as shown in-product. Balances, pricing, and pack sizes may change.
- Payments are processed by third-party payment providers. You agree to their terms when paying. Taxes may apply.
- Except where required by law or where we expressly grant a refund (for example a failed generate that returns minutes), purchases of minute packs are generally non-refundable once payment succeeds. Unused minutes have no cash value and are not transferable except as we allow.
- We may adjust balances for fraud, abuse, chargebacks, or billing errors.
8. Third-party services
- The Service depends on third parties (for example Google Sign-In, hosting, speech models, analytics, and payment processors). We are not responsible for third-party outages, policy changes, or acts. Your use of third-party services may be subject to their terms and privacy policies.
9. Disclaimer of warranties
- TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL CONTENT OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY — INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED AVAILABILITY.
- WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, THAT OUTPUT WILL BE ERROR-FREE OR RIGHTS-CLEAR, OR THAT DATA WILL NEVER BE LOST OR ALTERED. YOU USE THE SERVICE AND CONTENT AT YOUR OWN RISK.
10. Limitation of liability
- TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE OWNER, OPERATORS, DEVELOPERS, AFFILIATES, LICENSORS, AND PERSONNEL WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS; COST OF SUBSTITUTE SERVICES; OR DAMAGES ARISING FROM CONTENT, THIRD-PARTY CLAIMS ABOUT CONTENT, PUBLICATION OF SUBTITLES, OR RELIANCE ON OUTPUT — EVEN IF ADVISED OF THE POSSIBILITY.
- TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS (US $100) OR THE EQUIVALENT IN INR.
- SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS. IN THAT CASE, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. NOTHING IN THESE TERMS EXCLUDES LIABILITY THAT CANNOT LEGALLY BE EXCLUDED (FOR EXAMPLE FRAUD WHERE SUCH EXCLUSION IS VOID).
11. Indemnification
- To the maximum extent permitted by law, you will defend, indemnify, and hold harmless Desi Subtitles, its owner(s), operators, developers, affiliates, and personnel from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your Content (Input or Output); (b) your use or misuse of the Service; (c) your publication, distribution, or commercialization of any Output; (d) your violation of these Terms or of any law or third-party right; or (e) any dispute between you and a third party concerning Content.
12. Suspension and termination
- You may stop using the Service at any time. We may suspend or terminate access immediately if you breach these Terms, if required by law, or if we discontinue the Service.
- Upon termination, your right to use the Service ends. Provisions that by nature should survive (including ownership acknowledgements, disclaimers, limitations of liability, and indemnities) survive termination.
13. Changes to the Terms
- We may update these Terms from time to time. The “Last updated” date will change when we do. Continued use after changes become effective constitutes acceptance. If you do not agree, stop using the Service.
14. Governing law and disputes
- These Terms are governed by the laws of India, without regard to conflict-of-law rules. Courts in India shall have exclusive jurisdiction, subject to any mandatory consumer protections that apply in your place of residence.
- Before filing a claim, you agree to try to resolve the dispute informally by contacting us through the Contact page and allowing a reasonable time to respond.
15. General
- These Terms and the Privacy Policy are the entire agreement between you and us regarding the Service and supersede prior agreements on the same subject.
- If a provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, sale, or reorganization.
- No agency, partnership, or employment is created. Headings are for convenience only. “Including” means “including without limitation.”
- These Terms do not create rights for third-party beneficiaries except as stated for indemnified parties.
